3.2. Điều khoản thanh toán/ Payment terms
Chủ đầu tư sẽ thanh toán 100% Tổng Giá trị Hợp đồng Nội thất cho Nhà thầu Nội thất bằng chuyển khoản 04 (bốn) lần, với chi tiết như sau:/ The Employer shall make payments to the Interior Contractor 100% of Total Interior Contract Value by bank transfer into 04 (four) times with below details:
(a) Thanh toán lần 1:/ The 1st payment:
30% Tổng Giá trị Hợp đồng Nội thất (chưa bao gồm thuế GTGT), như một khoản đặt cọc, được thanh toán bởi Chủ đầu tư trong vòng 07 ngày làm việc kể từ ngày hợp đồng được ký bởi hai Bên, và Chủ đầu tư nhận được Bảo lãnh Thực hiện Hợp đồng.
30% of Total Contract Value (excluding VAT), as a deposit, shall be paid by the Employer within 07 working days from the date that the Interior Contract has been signed by both Parties, and the Employer has received Performance Guarantee.
Bảo lãnh Thực hiện Hợp đồng được phát hành bởi Ngân hàng TMCP Ngoại thương Việt Nam (ưu tiên chi nhánh Biên Hòa), hoặc ngân hàng đủ điều kiện khác đã được Chủ đầu tư chấp thuận trước. Giá trị Bảo lãnh Thực hiện Hợp đồng bằng 30% Tổng Giá trị Hợp đồng Nội thất (chưa bao gồm thuế GTGT). Bảo lãnh Thực hiện Hợp đồng có hiệu lực 45 ngày kể từ ngày phát hành hoặc đến khi hai Bên đã ký biên bản hoàn thành lắp đặt cho toàn bộ Dự án bao gồm: Phần Xây dựng, Phần Nội thất gắn tường, Phần Nội thất rời, Phần Phụ kiện, Phần Điện và phát sinh của Điện. Trường hợp hết 45 ngày mà hai Bên chưa ký xác nhận Biên bản hoàn thành lắp đặt cho toàn bộ Dự án thì Nhà thầu Nội thất có trách nhiệm gia hạn Bảo lãnh thực hiện hợp đồng đến khi có Biên bản hoàn thành lắp đặt cho toàn bộ Dự án được hai Bên ký./ Performance Guarantee shall be issued by Vietcombank (Bien Hoa Branch is preferable) or other qualified bank which has been approved in advance by the Employer. Performance Guarantee value is equal to 30% of the Total Interior Contract Value (exclusive of VAT). The Performance Guarantee shall be valid 45 days from the issuance date or until the both Parties have signed the Minutes of installation completion for the whole Project including Construction Part, Built-in Part, Non built-in Part, Accessory Part, ME and ME VO Part. In case after 45 days, both Parties have not signed the Installation Completion Minutes for the whole Project, the Interior Contractor is responsible for extending the validity of Performance Guarantee until the Minutes of installation completion for the whole Project has been signed by both Parties.
Nhà thầu Nội thất sẽ phát hành hóa đơn hoặc phiếu xác nhận khoản thanh toán sau khi nhận được thanh toán đợt 1 từ Chủ đầu tư./ The Interior Contractor shall issue invoice or a receipt after receiving the 1st payment from the Employer.
(b) Thanh toán đợt 2/ 2nd payment:
30% Tổng Giá trị Hợp đồng Nội thất (chưa bao gồm thuế GTGT) và tiền thuế GTGT của giá trị thanh toán đợt 1 và đợt 2 được thanh toán bởi Chủ đầu tư trong vòng 15 ngày làm việc kể từ ngày hai Bên ký Biên bản hoàn thành lắp đặt Phần Xây dựng và Nội thất Gắn tường và Nhà thầu Nội thất đã giao lên công trường các thiết bị ME. Đồng thời, Chủ đầu tư đã nhận được các hồ sơ sau:/ 30% of Total Interior Contract Value (exclusive of VAT) and VAT amount of the 1st payment and the 2nd payment shall be paid by the Employer within 15 working days from the date that both Parties have signed the Minutes of installation completion for Construction Part and Built-in Part and the Interior Contractor has delivered ME components to the work site. Điều 3: TỔNG GIÁ TRỊ HỢP ĐỒNG NỘI THẤT VÀ ĐIỀU KHOẢN THANH TOÁN/ Article 3: TOTAL INTERIOR CONTRACT VALUE AND PAYMENT TERMS
3.1. Tổng Giá trị Hợp đồng Nội thất: 1.936.333.962 VND (chưa bao gồm thuế GTGT). Bằng chữ: Một tỷ chín trăm ba mươi sáu triệu ba trăm ba mươi ba nghìn chín trăm sáu mươi hai Đồng Việt Nam. (sau đây trong Hợp đồng Nội thất này được gọi là “Tổng Giá trị Hợp đồng Nội thất”)./ The Total Interior Contract Value is VND 1,936,333,962 (exclusive of VAT). In words: One billion nine hundred thirty six million three hundred thirty three thousand nine hundred sixty two Vietnamese Dong. (hereinafter in this Interior Contract referred to as the “Total Interior Contract Value”).
Thuế suất GTGT được áp dụng theo quy định hiện hành tại thời điểm phát hành hóa đơn.
VAT rate shall be applied under the prevailing regulation at the time of invoice insuance.
Tổng Giá trị Hợp đồng Nội thất là SỐ TIỀN CỐ ĐỊNH và TRỌN GÓI (có nghĩa là giá trị hợp đồng sẽ không thay đổi vì bất kỳ lý do nào như lạm phát, thay đổi tỷ giá hối đoái, thay đổi giá nguyên liệu, thiết bị và bất kỳ lý do nào khác), bao gồm tất cả các chi phí thiết bị, chi phí vật liệu, chi phí nhân công, chi phí lắp đặt, chi phí vận chuyển, phí quản lý, phí xét nghiệm Covid-19 (nếu có), các khoản thuế hải quan và các loại thuế (nếu có), các khoản phí bảo hiểm, các công việc bổ sung đã được làm rõ trong quá trình thảo luận (nếu có), tất cả các chi phí cho các công tác sơ bộ, công tác tạm, văn phòng công trường, và công tác an toàn và bảo vệ môi trường bao gồm an toàn phòng cháy chữa cháy, công tác phòng chắn bụi và phòng ngừa cần thiết để đảm bảo cho công tắc lắp đặt của Nhà thầu Nội thất sẽ không làm ảnh hưởng đến hoạt động sản xuất kinh doanh bình thường của Chủ đầu tư, v.v…/ The Total Interior Contract Value is a LUMP SUM and FIXED AMOUNT (mean that the value will not be changed for any reason such as inflation, change of exchange rate, change of material, equipment price, and any other reason), including all equipment costs, material costs, labor costs, installation costs, transportation costs, management fee, Covid-19 testing fee (if any), other taxes and duties (if any), insurance fees, all additional works as clarified during discussion (if any), all expenses for preliminary works, temporary works, site office, and safety and environmental protection works including fire safety, dust prevention and all necessary prevention works to ensure that the installation works of the Interior Contractor shall not impact to the normal business operation and manufacturing process of the Employer, and etc.

2.4.2 Hồ sơ nghiệm thu và hồ sơ bàn giao/ Documents of acceptance and documents of handover
a) Hồ sơ nghiệm thu:/ Documents of acceptance:
- Biên bản Nghiệm thu Nội bộ của Nhà thầu Nội thất./ Internal Acceptance Minutes of the Interior Contractor.
- Phiếu Yêu cầu Nghiệm thu của Nhà thầu Nội thất. /Acceptance Request Note from the Interior Contractor.
- Biên bản nghiệm thu sẽ được Chủ đầu tư kiểm tra. Nếu Chủ đầu tư đã đồng ý về tất cả các nội dung trong Biên bản này, Chủ đầu tư sẽ ký vào Biên bản này để xác nhận việc chấp thuận./Minutes of acceptance which shall be checked by the Employer. If the Employer has agreed for all contents in this Minutes, the Employer shall sign this Minutes for confirmation of acceptance.
- Hồ sơ thiết kế triển khai thi công, các biện pháp thi công được Chủ đầu tư phê duyệt và những chứng từ khác có liên quan đến thay đổi thiết kế, vật liệu,… đã được Chủ đầu tư chấp thuận./ Shop drawings documents, construction methods approved by the Employer and related document to design changes, material changes,… accepted by the Employer.
- Biên bản nghiệm thu vật liệu đầu vào trước khi đưa vào thi công/ Material acceptance reports before being used in construction.
- Nhật ký thi công của Nhà thầu Nội thất và các văn bản khác có liên quan đến Công trình nghiệm thu./ Construction diary of the Interior Contractor and other documents related to accepted Works.
b) Hồ sơ bàn giao:/ Documents of handover:
- Các tài liệu quy định tại Mục a), Khoản 2.4.2 của Điều này nêu trên./ Documents specified at Item a), Clause 2.4.2 of this Article as mentioned above.
- Hồ sơ và bản vẽ hoàn công Hạng mục Công trình (sau khi đã hoàn thành khắc phục các tồn tại về chất lượng)./ As-built drawings and documents of Work Items (after completing the fixing for all defective points in the respect of quality).
- Bản vẽ điện./ M&E drawing.
- Biên bản sửa chữa các Hạng mục Công trình bị lỗi mà Chủ đầu tư đã yêu cầu Nhà thầu Nội thất sửa chữa một số các Hạng mục Công trình bị lỗi đó./ The Minutes of rectifications of defective Work Items which the Employer has requested the Interior Contractor to fix some defective Work Items.
- Biên bản Nghiệm thu và Bàn giao Cuối cùng của Dự án được Chủ đầu tư kiểm tra. Nếu Chủ đầu tư đã thống nhất tất cả các nội dung trong Biên bản này, thì Chủ đầu tư sẽ xác nhận Biên bản này để xác nhận nghiệm thu và bàn giao toàn bộ Dự án. Biên bản Nghiệm thu và Bàn giao Cuối cùng của Dự án phải được đại diện hợp pháp của Nhà thầu Nội thất và Chủ đầu tư ký./ The Minutes of Final Acceptance and Handover of the Project which shall be checked by the Employer. If the Employer have agreed for all contents in this Minutes, the Employer shall confirm this Minutes for confirmation of acceptance and handover of the whole Project. The Minutes of Final Acceptance and Handover of the Project shall be signed by the legal representative of the Interior Contractor and the Employer.
- Hướng dẫn vận hành, bảo dưỡng, bảo trì, chứng nhận bảo hành thiết bị Công trình./ Instruction for operation, maintenance, warranty certificate of equipment for Works.
- Nhà thầu Nội thất phải được Chủ đầu tư cho phép trước để thực hiện công việc trong thời gian làm thêm giờ. Nếu yêu cầu đó được đưa ra đối với những công việc yêu cầu phải làm trong thời gian ngoài giờ vì tính chất của công việc, thì sự cho phép đó sẽ được cấp ngay. Tuy nhiên, Chủ đầu tư có quyền từ chối đề nghị làm thêm giờ của Nhà thầu Nội thất trong một số trường hợp nếu Chủ đầu tư xét rằng việc làm thêm giờ đó có thể làm ảnh hưởng đến hoạt động sản xuất kinh doanh của Chủ đầu tư hoặc làm ảnh hưởng đến điều kiện sống của nhân viên của Chủ đầu tư./ The Interior Contractor shall obtain prior permission from the Employer for execution of work in overtime period. If such request is made for works that require to be done in overtime period because of the nature of the works, such permission will be given unreservedly. However, the Employer reserves the right to reject proposal for working overtime of the Interior Contractor in some cases if the Employer considers that such overtime works may affect to the business operation and manufacturing process of the Employer or disturbing the living condition of the Employer’s employees.
2.4. Nghiệm thu và bàn giao/ Acceptance and handover
2.4.1 Điều kiện nghiệm thu và bàn giao/ Conditions of acceptance and handover
- Nhà thầu Nội thất có trách nhiệm chuẩn bị đầy đủ hồ sơ, tài liệu và các điều kiện cần thiết để các Bên cùng tiến hành nghiệm thu công trình theo đúng Tiến độ thi công tổng quát./ The Interior Contractor shall be responsible for fully preparing documents and necessary conditions for the Parties to jointly accept the work in accordance with the Master schedule.
- Chủ đầu tư chỉ nghiệm thu khi các Hạng mục Công trình yêu cầu nghiệm thu đã hoàn thành, đạt yêu cầu thiết kế, chất lượng, và các tiêu chuẩn liên quan và có đủ hồ sơ theo quy định tại Khoản 2.4.2 của Điều này./ The Employer shall only accept when Work Items which are requested for acceptance have been completed, met design requirement, quality, and related standards and have enough documents as stipulated in Clause 2.4.2 of this Article.
- Chủ Đầu tư có thể từ chối nghiệm thu Công trình hoặc Hạng mục Công trình tiếp theo nếu Nhà thầu Nội thất không hoàn thành các hồ sơ nghiệm thu của các Công trình đã được thực hiện hoặc Hạng mục Công trình đã thực hiện./ The Employer may refuse to accept the Works or subsequent Work Items if the Contractor does not complete acceptance dossier for the executed Works or executed Work Items.
- Các Hạng mục Công trình không được nghiệm thu hoặc Nhà thầu Nội thất quên không đề xuất kiểm tra nghiệm thu, thì những Hạng mục Công trình này xem như chưa hoàn thành và sẽ không được thanh toán trong cùng kỳ của đợt thanh toán đó./ For Work Items that have not been accepted or the Interior Contractor had forgotten to propose inspection for acceptance, such Work Items are deemed to be not yet completed and shall not be paid in such period of that payment time.
- Nhà thầu Nội thất phải được Chủ đầu tư cho phép trước để thực hiện công việc trong thời gian làm thêm giờ. Nếu yêu cầu đó được đưa ra đối với những công việc yêu cầu phải làm trong thời gian ngoài giờ vì tính chất của công việc, thì sự cho phép đó sẽ được cấp ngay. Tuy nhiên, Chủ đầu tư có quyền từ chối đề nghị làm thêm giờ của Nhà thầu Nội thất trong một số trường hợp nếu Chủ đầu tư xét rằng việc làm thêm giờ đó có thể làm ảnh hưởng đến hoạt động sản xuất kinh doanh của Chủ đầu tư hoặc làm ảnh hưởng đến điều kiện sống của nhân viên của Chủ đầu tư./ The Interior Contractor shall obtain prior permission from the Employer for execution of work in overtime period. Prime Minister Narendra Modi’s first Independence Day speech in his third term in office — the eleventh since 2014 — sought to signal continuity and authority, particularly in the context of the fact that he is now leading a coalition government. He called for a uniform civil code, terming it a secular measure agnostic of religious faiths, ‘one nation, one election,’ and increased safety of women against the backdrop of the sexual assault and murder of an on-duty doctor in Kolkata recently. Mr. Modi said there were attempts to destabilise the economy of the country, echoing the BJP’s view on a recent report by U.S.-based short seller Hindenburg Research that has accused the head of stock market regulator SEBI of conflict of interest. Mr. Modi criticised the continuing trend of dynastic politics and suggested that one lakh first generation young leaders should enter electoral politics at various levels, and also expressed hope for peace being restored in Bangladesh. Reviewing his two terms in power, he claimed that India has made great strides in manufacturing, and in fighting corruption, and vowed to stay the course regardless of obstacles. The desirability of a uniform civil code, or more youngsters in politics or fighting corruption is not in question. But unfortunately, all these remain contentious issues, largely due to the government’s partisan approach.

The government’s explanation for this breach of precedent, that the seats in the front rows were given to members of this year’s Olympic team, is hardly a reasonable one. The government needs to be less unilateral and more consultative if it is truly committed to advancing a unified national agenda in the seventy-eighth year of India. A uniform civil code in a country as diverse as India requires consensus building, and ending the opportunistic use of the issue to attack the Muslim community. The government cannot fight corruption by investigating only Opposition leaders and overlooking serious charges against functionaries such as the SEBI chief. Criticism of the government is not a conspiracy to destabilise the nation, and labelling it as such is appealing only to a diminishing number of people. Independence Day should be a good occasion as any other to remember that the nation is not the government, and certainly not synonymous with the party in power. The freedom is for keeping the government of the day accountable to the people through a political process.
