Ambiguous Term
An ambiguous term is one that is subject to more than one interpretation. In determining if a term is ambiguous, the court will apply the plain-meaning rule, which provides that the objective definitions of contract terms control the meaning of the contract.
In the event it is deemed ambiguous, the court may go outside the document to interpret or clarify the ambiguity.
Trade Usage
If a term is ambiguous, evidence of trade usage or even local custom may be used to show that a particular word or phrase had a particular meaning.
PER
Under the PER, evidence of prior or contemporaneous negotiations and agreements, written or oral, that contradict or modify contractual terms is inadmissible to vary the terms of the contract as written. The first step is to determine whether the written contract is intended as the final agreement of the parties (i.e., an integration). A total integration is a writing that completely expresses all of the terms of the parties’ agreement. A partial integration is a writing that sets forth the parties’ agreement about some, but not all, terms.
One way an integration can be evidenced is by a merger clause within the contract.
For a partial integration, the parties are permitted to introduce supplementary extrinsic evidence (oral or written) of other terms as long as the evidence is consistent with the writing, but not if the evidence contradicts the terms of the writing.
Exception to PER: Ambiguity
Ambiguity is an exception to the PER. As analyzed above, if the term is ambiguous, outside evidence may be introduced to explain that the restrooms were not meant to be included.
Attempted Modification
To be valid, a modification at common law must be supported by additional consideration.
Express Condition Precedent
Express conditions are expressed in the contract. A condition precedent is one that must occur before an absolute duty of performance arises in the other party.
Exception: Substantial Performance
When a party has almost completely performed his duties, but has breached in some minor way, the rule of substantial performance avoids forfeiture of a return performance. However, express conditions generally must be complied with fully unless excused. On the other hand, a party who substantially complies with an implied or constructive condition can trigger the obligation of the other party to perform.
Minor Breach
The doctrine of substantial performance permits a party who substantially performs to recover on the contract even though that party has not rendered full performance.

A party who fails to substantially perform is in material breach.
Expectation Damages
Expectation damages are those damages that put the non-breaching party in the same position he would have been in had the breach not occurred. Inadequate legal remedy
The legal remedy is inadequate when the subject matter is rare or unique.
Definite and certain terms
The contract must be valid and the terms must be sufficiently certain for the court to award SP.
Feasibility
Enforcement of the contract must be feasible. It may not be feasible if the court lacks jurisdiction or if it requires too much supervision. In addition, it is not feasible in a service contract because of difficulty in supervision and because the courts feel it is tantamount to involuntary servitude in violation of the 13th Amendment.
Mutuality
Mutuality requires that the party seeking SP has already fully performed or can show that he is ready, willing, and able to perform. Here, nothing in the facts suggest that Barn is not ready, willing, and able to pay Sam.

Unclean hands is a defense to an equitable remedy when the party who seeks equitable relief himself engages in serious misconduct in close relation to the claim.

Allein aus dem Wortlaut des § 196 BGB kann allerdings nicht eindeutig geschlossen werden, dass der Vergütungsanspruch des Bauträgers nach dieser Vorschrift verjährt.
Die mit der einheitlichen Vergütung abgegoltenen Leistungen - auch die Leistungen betreffend die Bauwerkserrichtung - haben danach für den Erwerber keinen nachhaltigen Wert, wenn er nicht Eigentümer des Grundstücks wird
Denn die dem Bauträger zustehende Vergütung stellt sowohl die Gegenleistung für die von ihm geschuldete Übertragung des Eigentums und damit eine Gegenleistung im Sinne des § 196 BGB als auch die Gegenleistung für die von ihm geschuldete Errichtung des Bauwerks dar.
Die Verpflichtung zur Errichtung eines Bauwerks und die Gegenleistung hierfür werden indes vom Wortlaut des § 196 BGB nicht erfasst
Hat der Hauptunternehmer den vom Besteller geltend gemachten Anspruch auf Kostenvorschuss gemäß § 634 Nr. 2, § 637 III BGB dagegen bereits durch Zahlung erfüllt, wandelt sich sein zunächst auf Freistellung gerichteter Schadensersatzanspruch
gegen den Nachunternehmer gemäß § 634 Nr. 4 BGB in Verbindung mit § 280 I und III, § 281 BGB in einen solchen auf Zahlung in Höhe des geleisteten Kostenvorschusses.
Vielmehr macht der Hauptunternehmer im Wege des Schadensersatzes die Vermögenseinbuße geltend, die ihm durch die Zahlung des Kostenvorschusses an seinen Besteller tatsächlich entstanden ist.
Gegen diese Beurteilung kann nicht eingewendet werden, dass es sich bei dem Vergütungsanspruch um einen Anspruch aus einem Mischvertrag handelt, bei dem die vom Bauträger geschuldete Übertragung des Eigentums an dem Grundstück gegenüber der Bauwerkserrichtung von derart untergeordneter Bedeutung für das Vertragsverhältnis ist, dass § 196 BGB auf den Vergütungsanspruch nicht angewendet werden könnte.
Vielmehr ist die Übertragung des Eigentums an dem Grundstück bei einem Bauträgervertrag von wesentlichem Interesse für den Erwerber. Der Anspruch des Erwerbers ist auf Übertragung des Grundstücks mit dem zu errichtenden Bauwerk gerichtet
Das Bauwerk wird mit seiner Errichtung wesentlicher Bestandteil des Grundstücks (§ 94 I 1 BGB).
Das Eigentum an dem Grundstück erstreckt sich daher auch auf das Eigentum an dem Bauwerk (§ 946 BGB).
Dabei handelt es sich nicht um einen Schadensersatzanspruch auf Zahlung noch nicht aufgewendeter fiktiver Mängelbeseitigungskosten.
Nach § 1192 Abs. 1a BGB können Einreden, die dem Eigentümer auf Grund des Sicherungsvertrags mit dem bisherigen Gläubiger gegen eine Sicherungsgrundschuld zustehen oder sich aus dem Sicherungsvertrag ergeben, auch jedem Erwerber der Grundschuld entgegengesetzt werden; § 1157 Satz 2 BGB, der auf die Vorschriften über den guten Glauben verweist, findet insoweit keine Anwendung.
Die Vorschrift des § 1192 Abs. 1a BGB findet auf den Erwerber eines bereits mit einer Sicherungsgrundschuld belasteten Grundstücks keine Anwendung.
Die Voraussetzungen für eine analoge Anwendung von § 883 Abs. 2 BGB auf die Änderung einer Sicherungsabrede für eine vorrangige Grundschuld sind offensichtlich nicht gegeben
